1. Definitions

  • Client: Any organisation, business, or individual engaging Nolvera Ltd for recruitment, staffing, or workforce solutions.
  • Candidate: Any individual whose details are submitted to, or processed by, Nolvera Ltd for recruitment purposes.
  • Services: All recruitment, staffing, consultancy, and associated workforce solutions provided by Nolvera Ltd.
  • Website: The online platform www.nolveraltd.com.

2. Use of the Website

2.1 Access to and use of the website is subject to these Terms.

2.2 You agree not to use the website for unlawful purposes or in any way that could damage, disable, or impair our systems.

3. Services

3.1 We provide recruitment and staffing solutions across multiple sectors, including temporary, contract, and permanent placements.

3.2 Engagement of services is subject to these Terms and any separate Service Agreement entered into between the Client and Nolvera Ltd.

4. Client Obligations

4.1 The Client must provide accurate and complete information about roles, requirements, and any legal or compliance obligations relevant to recruitment.

4.2 The Client acknowledges that it is responsible for verifying any Candidate's suitability, right to work, qualifications, and references.

4.3 Fees are due in accordance with agreed payment terms, and late payments may accrue interest as permitted by law.

5. Candidate Introductions

5.1 A Candidate is considered introduced once information about them is submitted to the Client by Nolvera Ltd.

5.2 The Client agrees not to engage Candidates introduced by Nolvera Ltd in any capacity (employment, contract, consultancy, or otherwise) without notifying and agreeing terms with Nolvera Ltd.

6. Fees and Payment

6.1 Fees for services shall be agreed in writing prior to commencement and may be charged as a placement fee, retainer, or on a time-and-materials basis.

6.2 Fees are exclusive of VAT and other applicable taxes.

6.3 Invoices are due within the agreed period (typically 30 days) from the invoice date. Interest may be charged on overdue amounts at the statutory rate.

7. Replacement and Refund Policy

7.1 Where agreed, Nolvera Ltd may offer a replacement Candidate within a specified period (e.g., 90 days) if the original placement leaves or is dismissed for non-performance, provided the Client has complied with all obligations.

7.2 No refunds will be issued except where expressly agreed in writing.

8. Intellectual Property

8.1 All content and materials on the website and in communications from Nolvera Ltd are protected by copyright and other intellectual property laws.

8.2 You may not reproduce, modify, or distribute any content without prior written permission.

9. Limitation of Liability

9.1 To the fullest extent permitted by law, Nolvera Ltd's total liability arising under or in connection with these Terms or the provision of Services shall not exceed the total fees paid by the Client for the relevant services.

9.2 We shall not be liable for any indirect, special, or consequential losses.

10. Confidentiality and Data Protection

10.1 We will handle personal data in accordance with applicable data protection laws, including UK GDPR.

10.2 Our Privacy Policy explains how we collect and use personal information. You agree to the terms of our Privacy Policy when using the website or services.

11. Termination

11.1 These Terms remain in effect until terminated by either party with written notice.

11.2 Termination does not affect obligations incurred prior to termination, including payment of fees or confidentiality obligations.

12. Governing Law and Jurisdiction

These Terms are governed by the laws of England and Wales. The parties agree that any dispute arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
